Description Of Service:

The Depositor agrees to provide a non-refundable set-up fee in the amount listed below to the Recipient. The purpose of this deposit is to secure Cornerstone Center's team to build custom assets discussed. Custom assets will be ready for first review within 2 weeks.

This Non-Refundable Set-Up Fee Agreement (the "Agreement") is entered into between you (referred to as the "Depositor") and Cornerstone Center (referred to as the "Recipient"). (All terms and conditions apply to initial payment)

Non-Refundable Nature:

The Depositor acknowledges and agrees that the Set-Up Fee provided herein is non-refundable. Regardless of any circumstances, the Depositor will not be entitled to a refund of the set-up fee amount.

Conditions of Forfeiture:

The Set-Up-Fee shall be forfeited by the Depositor in the following circumstances:

a. Cancellation by the Depositor:

If the Depositor cancels the work requested, the deposit shall be retained by the Recipient as liquidated damages.

b. Failure to Fulfill Obligations:

If the Depositor fails to fulfill their obligations under the agreement or breaches any terms and conditions, the Set-Up-Fee shall be retained by the Recipient as compensation for the losses incurred.

c. Force Majeure:

If the job becomes impossible or commercially impracticable due to events beyond the control of either party (force majeure events), 50% of the deposit shall be refundable.

Dispute Resolution:

Any disputes arising out of or in connection with this Agreement shall be resolved through mediation or arbitration in accordance with the laws of the State of Florida. Both parties agree to participate in good faith and bear their respective costs related to the resolution process.

Entire Agreement Regarding Set-Up Fee:

This Agreement constitutes the entire understanding between the Depositor and the Recipient regarding the subject matter hereof and supersedes all prior discussions, understandings, or agreements, whether written or oral.

Severability:

If any provision of this Agreement is held to be unenforceable, the remaining provisions shall continue to be in full force and effect.

Service Agreement

This Agreement of Service ("Agreement") is entered into between Cornerstone Center, with its principal place of business at 608 E. Moody Blvd, referred to as the "Service Provider," and you], referred to as the "Customer." Collectively, the Service Provider and the Customer shall be referred to as the "Parties."

Scope of Service:

The Service Provider agrees to provide placemat ad design, printing, delivering and fulfillment to restaurant.

Term:

This Agreement shall commence upon payment and shall remain in effect for a period of one year, unless otherwise terminated as per the provisions of this Agreement.

Recurring Payments:

The Customer agrees to pay the Service Provider the monthly, quarterly or yearly as outlined in your pricing plan. Payment shall be made via recurring payment. Accepted payment methods include those accepted by our credit card processor.

Renewal and Termination:

Either Party may terminate this Agreement with written notice at least 60 days prior to the end of the term. If not terminated within the notice period, the Agreement shall automatically renew for successive one-year terms.

Service Level Agreement (SLA):

Services Provided:

The company agrees to distribute placemats with your ad based on number of prints. Your print numbers are calculated and stored at Cornerstone Center with a copy of your ad

Confidentiality:

Both Parties agree to keep any confidential information received from the other Party strictly confidential and not disclose it to any third party, except as required by law or with the other Party's prior written consent.

Limitations of Liability:

To the maximum extent permitted by law, neither Party shall be liable to the other for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Agreement.

Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of [jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of State Of Florida.
